THIS MASTER DEED, made this day of __________, 1988, by Cedars Development Corporation, a New Jersey corporation, having an address at 1640 Vauxhall Road, Union,New Jersey 07083 (hereinafter referred to as "Developer").

WHEREAS, Developer owns those lands in the Township of Bernards, County of Somerset, State of New Jersey, more particularly described in Exhibit A attached hereto and made a part hereof, which lands are hereinafter referred to as the "Condominium", consisting of approximately 212 acres; and

WHEREAS, it is the intention of the Developer to establish the form of of the Property as a Condominium pursuant to the provisions of the New Jersey Condominium Act, N.J.S.A. 46:8B-1 et. seq., under the name of The Cedars, A Condominium (hereinafter referred to as the "Condominium"); and

WHEREAS, this Master Deed is intended to establish the condominium form of ownership for the lands described in this Exhibit A aforesaid, as shown on that certain Condominium Site Plan dated November 16, 1987, prepared by Apgar Associates, DeMun Place, Far Hills, New Jersey, attached hereto as Exhibit B and made a part hereof, and those certain architectural drawings prepared by The Cahill Partnership, P.O. Box 337, Far Hills, New Jersey, attached hereto and made a part hereof as Exhibit C; and

WHEREAS, The Cedars Condominium Association, Inc. a New Jersey non-profit corporation hereinafter referred to as the "Association"), has been or is about to be established as the entity to have the responsibility for the administration, operation and management of the Condominium and the recreational facilities, and other improvements intended for the common use and enjoyment of the residents of the Condominium; and

WHEREAS, all owners of the Units in the Condominium will automatically be members of the Association and subject to the Master Deed, the Certificate of Incorporation and the By-Laws of the Association.

THEREFORE, WITNESSETH:

Establishment of Condominium
The Developer does hereby submit, declare and establish in accordance with N.J.S.A. 46:8B-1 et. seq., the condominium form of ownership for the parcel of land described in Exhibit A aforesaid, to be known as "The Cedars, A Condominium"; together with all improvements thereon, and as more particularly shown on Exhibit B and Exhibit C.
